PLAYERS' CLUB LOYALTY PROGRAM

The Players’ Club Loyalty Program (the “Program”) is a loyalty program offered by Golf & Tennis Pro Shop, Inc., d/b/a PGA TOUR Superstore (“PGA TOUR SUPERSTORE” or “our,” “we” or “us”), which is subject to these Players’ Club Terms and Conditions (“Program Terms”). There is no purchase, payment, or credit card required to sign up for, join, and/or participate in the Program, although optional benefits may be available at designated prices as described herein.

We reserve the right to change or modify the Program, these Program Terms, and/or any element of the Program, including without limitation Program benefits, at any time and in our sole and absolute discretion. Any changes or modifications will be posted to this site (https://www.pgatoursuperstore.com/players-club-terms.html) and will be effective immediately or upon such date as may be specifically stated in the updated Program Terms. Unless required by applicable law, you waive any right you may have to receive specific notice of any such changes or modifications and/or to provide additional consent, and your continued access to or participation in the Program following any such changes confirms your acceptance. We encourage you to check back here from time to time to see if updates have been made; these Program Terms will include a LAST UPDATED date at the top indicating the last date on which any material changes were made.

PLEASE READ THESE PROGRAM TERMS CAREFULLY. BY REGISTERING OR PARTICIPATING IN THE PROGRAM AND/OR PROVIDING YOUR OPT-IN CONSENT (WHERE APPLICABLE), YOU AGREE TO BE BOUND BY THESE PROGRAM TERMS AND ALL OTHER TERMS INCORPORATED HEREIN AND YOU AGREE THAT PGA TOUR SUPERSTORE’S DECISIONS AND INTERPRETATIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE PROGRAM. THESE PROGRAM TERMS CONTAIN A BINDING ARBITRATION CLAUSE, CLASS ACTION AND JURY TRIAL WAIVER, AND OTHER CLAUSES WHICH GOVERN THE RESOLUTION OF DISPUTES BETWEEN US AND YOU AND LIMIT OUR LIABILITY TO YOU, EXCEPT WHERE PROHIBITED BY APPLICABLE LAW. SEE SECTION 11 FOR MORE INFORMATION.

If you participate in the Program while accessing or otherwise using our website at www.pgatoursuperstore.com (the “Website”), then the Website’s Terms of Use (“Website Terms”) apply to your participation. All information you share with us or which we otherwise collect is governed by our Privacy Policy (“Privacy Policy”).

1. ELIGIBILITY: The Program is open only to those legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older at the time of participation and establish an account for purchases with us (an “Account”). Some benefits may be subject to additional eligibility requirements and other restrictions. The Program is intended for personal use only; commercial use is prohibited.

2. HOW TO PARTICIPATE: Eligible individuals may enroll in the Program by visiting this page on our Website, checking the optional box to participate in the Program when creating an Account, or by completing the application process at any participating PGA TOUR Superstore location. When shopping online, purchases must be made while signed into your Account to be considered Qualifying Purchases. For purchases at a participating retail location to be considered Qualifying Purchases, provide your phone number to the associate at checkout. Only one person may be enrolled per Program membership and a Program membership may not be sold, transferred, or assigned.

In the event of a dispute over the ownership of a Program membership, the Program member is determined by the authorized holder of the email address associated with the Account used at the time of Program enrollment, where the authorized holder is the natural person who is assigned to an email address by an Internet access provider, online service provider, or organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

3. QUALIFYING PURCHASES: “Qualifying Purchases” include any purchase made on the Website or at a participating PGA TOUR Superstore location as described above, except for the excluded categories identified below. Qualifying Purchases are calculated after all discounts are applied, including Reward redemptions, and before fees or taxes are imposed. For clarity, points are not earned on fees and taxes. Paid Shipping is a Qualifying Purchase. If merchandise from a Qualifying Purchase is subsequently returned or if credits or refunds are provided for price adjustments, the balance of the Qualifying Purchase previously earned will be deducted from your Program membership balance to reflect an y unearned value.

Excluded Categories:

· Gift cards;

· Tournament cards;

· Purchases of PING products, and

· Purchases of items on a liquidation sale.

PGA TOUR SUPERSTORE reserves the right to determine the amount of Qualifying Purchases credited to any Program membership based on our internal records related to the Program membership. PGA TOUR SUPERSTORE reserves the right to invalidate purchases from a Program membership if it determines that such purchases were improperly credited to such Program membership or were obtained fraudulently or in violation of these Program Terms.

4. REWARDS: For every $500 that a Program member spends on Qualifying Purchases, that Program member will receive a $10 reward that can be redeemed either online or at participating retail locations (a “Reward”). Rewards are printed on receipt at time of transaction and also delivered via email if your email address is on file.

Rewards will expire thirty days after they are issued by PGA TOUR SUPERSTORE. Rewards are non-transferrable and not for resale. Rewards are valid for one-time use only, have no cash value, and cannot be combined with other offers/coupons. Up to seven (7) Rewards may be used per in-store transaction. Only one (1) Reward may be used per online transaction. The amount of discount to the purchase price resulting from the application of the Reward card will be allocated on a pro rata basis across all items purchased in the transaction. A Reward is issued only after a Program member reaches $500 in spending on Qualifying Purchases and again in increments of $500; no reward of any kind is issued for anything less than $500 in spending on Qualifying Purchases.

Rewards may not be redeemed on the following purchases: PING products, international orders, backordered products, previous purchases, exchanges, or gift cards. Rewards cannot be applied to shipping fees. Additional exclusions may apply.

5. PLAYERS CLUB PLUS: We also offer the Players’ Club PLUS program and the Players’ Club PLUS Tennis program (each a “PLUS Program”, and together the “PLUS Programs”) which are paid memberships that provide all of the benefits described in these Program Terms plus the additional benefits described in this section. Membership in a PLUS Program may be purchased at a participating PGA TOUR Superstore location, or a gift card for a respective PLUS Program may be purchased on the Website, which must be redeemed in-store.

Benefits provided by each PLUS Program are supplemental to the benefits described elsewhere in these Program Terms and include the below. These benefits are only available to the PLUS Program member, and non-transferable, and may not be used for or on the behalf of any other individual.

a. Players’ Club PLUS Tennis. A one-year membership to the Players’ Club PLUS Tennis Program costs $39.00. Members receive the following benefits:

i. Free standard ground shipping on all online orders from the Website.

ii. The labor fee for restringing of tennis rackets performed at a participating PGA TOUR Superstore location is 50% off, excluding tax and any other applicable fees. Only valid with the purchase of strings, over wraps, grommets, or dampeners.

iii. The rental fee for a tennis court or hitting lane is 50% off, excluding tax and any other applicable fees. Only available at participating PGA TOUR Superstore locations and by appointment only.

b. Players’ Club PLUS. A one-year membership to the Players’ Club PLUS Golf & Tennis Program $299.99. Members receive the following benefits:

i. Free standard ground shipping on all online orders from the Website.

iii. The rental fee for a tennis court or hitting lane is 50% off, excluding tax and any other applicable fees. Only available at participating PGA TOUR Superstore locations and by appointment only.

iv. One (1) free 30-minute or 60-minute appointment in the Standard Practice Center Bays or Practice+Play bays per day during the membership year. Only available at participating PGA TOUR Superstore locations and by appointment only using the online booking tool. Appointments may not be booked more than seven (7) days in advance.

Additional sessions will be 50% off

v. The labor fee for golf club repair services performed at a participating PGA TOUR Superstore location is 50% off, excluding tax and any other applicable fees.

vi. The labor fee for up to 30 club re-gripping service requests during the membership year is at no cost. Only available at participating PGA TOUR Superstore locations. Only valid with the purchase of grips.

vii. Golf lessons are 20% Off. Must be purchased in-store. Single Lessons only. Discount does not apply to packages.

viii. Club Fittings are 20% off, excluding tax and any other applicable fees.. Must be purchased in-store.

ix. One (1) free fitting (Driver, Iron, Woods/Hybrids or Putter) during the membership year.

x. One (1) free golf lesson during the membership year.

6. GENERAL CONDITIONS: By enrolling in the Program, you agree to be bound by these Program Terms and all terms applicable to your participation in the Program while accessing or otherwise using our Website, including but not limited to the Website Terms and their limitations of liability.

If, for any reason, the Program is not capable of running as planned, or the integrity and/or feasibility of the Program is severely undermined by any event beyond the control of PGA TOUR SUPERSTORE, including but not limited to fire, flood, epidemic, pandemic, or other public health emergency, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any federal, state or local government law, order, or regulation, order of any court or jurisdiction, infection by computer virus, unauthorized intervention, technical failures or other cause not reasonably within the control of PGA TOUR SUPERSTORE (each a “Force Majeure” event or occurrence), PGA TOUR SUPERSTORE reserves the right, at its sole and absolute discretion, to abbreviate, cancel, terminate, modify, or suspend the Program and/or proceed with the Program.

Without limiting the foregoing, everything regarding this Program, including the Rewards, is provided “as is” without warranty of any kind, either express or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose or non-infringement.

7. NOTICE OF FINANCIAL INCENTIVE: By participating in the Program you acknowledge your consent to the use of your personal information as explained in the Players Club Financial Incentive Notice, Privacy Policy, and California Privacy Notice. Note that PGA TOUR SUPERSTORE may send marketing materials to Program members that are also provided to anyone on PGA TOUR SUPERSTORE’s marketing distribution lists.

8. ACCOUNT TERMINATION: Program members may withdraw from the Program at any time by calling us at (888) 200-7428 or emailing us at customerservice@pgatss.com. We may request confirmation, such as through email, for the withdrawal from the Program. PGA TOUR SUPERSTORE reserves the right to terminate the Program membership of any member found, in its sole opinion, to be tampering with the operation of the Program; to be acting in violation of these Terms and Conditions; or with the intent to disrupt the normal operation of the Program. Any use of robotic, automatic, macro, programmed, third-party, or like methods to participate in the Program will void any attempted participation effected by such methods and the result in the individual utilizing the same to be ineligible to participate in the Program.

9. DISPUTES: Certain portions of this Section are deemed to be a “written agreement to arbitrate” pursuant to the Federal Arbitration Act. You and PGA TOUR SUPERSTORE agree that we intend that this Section satisfies the “writing” requirement of the Federal Arbitration Act. This Section can only be amended by mutual agreement.

If a dispute arises between you and PGA TOUR SUPERSTORE, you and PGA TOUR SUPERSTORE agree, as permitted by applicable law, to resolve any claim or controversy at law or equity arising out of, relating to, or connected in any way with the Program and PLUS Programs through binding arbitration or as we and you otherwise agree in writing. Before resorting to these alternatives, we strongly encourage you to first contact us directly at customerservice@pgatss.com to seek a resolution. We will consider reasonable requests to resolve the dispute through alternative dispute resolution procedures, such as mediation or arbitration, as alternatives to litigation.

If we cannot resolve a dispute within sixty (60) days of receipt of the notice then, to the fullest extent permitted by applicable law, disputes shall be resolved solely by binding arbitration in accordance with the then-current Commercial Arbitration Rules of the American Arbitration Association (“AAA”), in Georgia conducted before a single arbitrator pursuant to its rules (including, but not limited to the AAA’s Consumer-Arbitration Rules, available at the ADR Consumer site), except that we may seek injunctive or other appropriate relief in any state or federal court. To begin an arbitration proceeding, you must submit the dispute by utilizing the forms available at ADR Consumer site, and simultaneously sending a copy of the completed form to the following address:

WITH ARBITRATION (A) THERE IS NO JUDGE OR JURY, (B) THE ARBITRATION PROCEEDINGS AND ARBITRATION OUTCOME ARE SUBJECT TO CERTAIN CONFIDENTIALITY RULES, AND (C) JUDICIAL REVIEW OF THE ARBITRATION OUTCOME IS LIMITED. You hereby consent to, and waive, all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in the state and federal courts of in Georgia. Any dispute shall otherwise be governed by the internal laws of in Georgia without regard to Georgia choice of law principles, except that the provisions of this agreement concerning arbitration shall be governed by the Federal Arbitration Act. The arbitrability of disputes shall be determined by the arbitrator. The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You and PGA TOUR SUPERSTORE also agree that disputes will be arbitrated only on an individual basis and will not be joined or consolidated with any other arbitrations or other proceedings that involve any claim or controversy of any other party. The arbitrator may award relief (including injunctive relief) only on an individual basis.

In the event the AAA is unavailable or unwilling to hear the dispute, you and PGA TOUR SUPERSTORE shall agree to, or a court shall select, another arbitration provider.

But if, for any reason, any court with competent jurisdiction or an arbitrator holds that this Section is unconscionable or unenforceable, then our agreement to arbitrate will not apply and the dispute must be brought exclusively in court as follows.

YOU AND PGA TOUR SUPERSTORE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. YOU AND PGA TOUR SUPERSTORE AGREE TO WAIVE ANY RIGHT TO A JURY TRIAL.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IF YOU OR WE WANT TO ASSERT A DISPUTE AGAINST THE OTHER, THEN YOU OR WE MUST COMMENCE IT BY DELIVERY OF WRITTEN NOTICE WITHIN ONE (1) YEAR AFTER THE DISPUTE ARISES – OR IT WILL BE FOREVER BARRED.
